1. Acceptance of Terms

Welcome to Mentis! These Terms of Service ("Terms") constitute a legally binding agreement between you and Mentis ("we," "us," or "our") governing your use of the Mentis educational flashcard application and services (the "Service"), including our web application, iOS app, and Android app.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Important: These Terms include provisions that limit our liability and require individual arbitration for disputes. Please read them carefully.

2. Eligibility and Account Registration

2.1 Age Requirements

• You must be at least 13 years old to create an account
• Users under 18 require parental or guardian consent to use the Service
• If you are under 18, your parent or guardian must review and agree to these Terms

2.2 Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept full responsibility for all activity under your account

2.3 Account Security

You are responsible for:

• All actions taken using your account credentials
• Losses resulting from unauthorized use of your account
• Ensuring only you use your account (no sharing credentials)

We are not liable for losses from unauthorized account use if you fail to maintain account security.

2.4 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Community Guidelines
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security or legal risk

3. Description of Service

Mentis is an educational platform providing:

• Flashcard Creation: Create, edit, and organize digital flashcards
• Study Tools: Spaced repetition algorithm (SM2), classic study mode, quiz games
• AI-Powered Features: AI flashcard generation, text enhancement, quiz creation (requires subscription)
• Progress Tracking: Study statistics, mastery levels, streak tracking
• Social Features: Groups, friends, deck sharing, leaderboards
• Cross-Platform Sync: Access your data on web, iOS, and Android

The Service is provided on a subscription basis with a limited free tier.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription plans:

4.2 Billing

• Subscriptions are billed in advance on a recurring monthly or annual basis
• Payment is processed through Stripe (web), Apple App Store (iOS), or Google Play Store (Android)
• By subscribing, you authorize us to charge your payment method at the start of each billing period
• You must provide valid payment information and update it as needed

4.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

• Renewal charges occur on the same date each period
• You will be charged the then-current subscription rate
• To cancel auto-renewal:
  • Web: Go to Account Settings → Cancel Subscription
  • iOS: Settings → [Your Name] → Subscriptions → Mentis → Cancel
  • Android: Google Play Store → Subscriptions → Mentis → Cancel

4.4 Cancellation and Refunds

Cancellation Policy:

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of the billing period
• After cancellation, your account reverts to the Free plan

Refund Policy:

• General Rule: Subscriptions are non-refundable
• Exception: We may issue refunds at our sole discretion for technical issues, billing errors, or other exceptional circumstances
• iOS/Android: Refunds are subject to Apple and Google's refund policies
• To request a refund, contact support@mentis.app with your order details

5. AI Credits and Usage

5.1 AI Credit Allocation

AI credits are used for AI-powered features (flashcard generation, text enhancement, quiz creation):

• Free: 0 credits/month
• Beta: 100 credits/month
• Pro: 500 credits/month
• Premium: Unlimited credits

Credits reset monthly on your subscription renewal date and do not roll over.

5.2 AI Content

• AI-generated content is processed by OpenAI and subject to their terms
• You retain ownership of all AI-generated flashcards and content
• We do not guarantee the accuracy, quality, or appropriateness of AI-generated content
• You are responsible for reviewing and editing AI-generated content before use

6. User-Generated Content and Intellectual Property

6.1 Your Content

You retain ownership of all flashcards, decks, notes, and content you create ("User Content").

By creating content on the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

• Host, store, and display your User Content
• Enable sharing, collaboration, and social features
• Generate analytics and improve the Service (using anonymized data)

This license ends when you delete your content or account.

6.2 Public Content

When you mark content as "public":

• Anyone can view, study, and copy your content
• Other users may create derivative works based on your content
• You grant other users a Creative Commons-like license to use your public content for educational purposes

6.3 Prohibited Content

You may NOT create or share content that:

• Infringes copyrights, trademarks, or intellectual property rights
• Contains illegal, harmful, or hateful material
• Violates our Community Guidelines

We reserve the right to remove prohibited content and suspend violating accounts.

7. Copyright Policy (DMCA)

We respect intellectual property rights. If you believe content on our Service infringes your copyright:

Send a DMCA takedown notice to: dmca@mentis.app

Include:

• Description of the copyrighted work
• URL of the infringing content
• Your contact information
• A statement of good faith belief
• Electronic signature

Repeat infringers will have their accounts terminated.

8. Prohibited Conduct

You agree NOT to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Harass, abuse, or harm other users
• Distribute spam, malware, or viruses
• Attempt to hack, reverse engineer, or compromise the Service
• Use bots, scrapers, or automated tools without permission
• Create multiple accounts to abuse free trials or features
• Share accounts or sell access to the Service

9. Disclaimers and Limitations of Liability

9.1 "As Is" Service

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• Uninterrupted or error-free access
• Accuracy or reliability of content
• That the Service will meet your requirements
• That defects will be corrected

9.2 Educational Use Only

Mentis is an educational tool. We do not guarantee academic success or exam performance. You are responsible for verifying the accuracy of all study materials.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, we shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss

Our total liability for any claims arising from the Service is limited to the amount you paid us in the 12 months before the claim, or $100 (whichever is greater).

10. Dispute Resolution and Arbitration

10.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@mentis.app to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

10.2 Binding Arbitration

If informal resolution fails, you and Mentis agree to resolve disputes through binding arbitration, not in court.

• Arbitration is conducted by the American Arbitration Association (AAA)
• Arbitrator's decision is final and binding
• Each party pays their own costs (unless otherwise required by law)

10.3 Class Action Waiver

You agree to bring claims only in your individual capacity, not as a plaintiff or class member in any class, consolidated, or representative action.

Opt-Out: You may opt out of arbitration within 30 days of accepting these Terms by emailing legal@mentis.app.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles.

Any disputes not subject to arbitration shall be resolved in the state or federal courts located in [Your County, State].

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an email notification (for significant changes)
• Displaying an in-app notification

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.
